Retrievy Terms of Use

Welcome to Retrievy! These Terms of Use ("Terms") govern your access to and use of the Retrievy platform ("Service"), a Retrieval-Augmented Generation (RAG) AI service. By accessing or using the Service, you agree to be bound by these Terms.

1. Description of Service

Retrievy is a Software-as-a-Service (SaaS) platform that allows users to upload documents ("User Content") and interact with them using third-party artificial intelligence models. The Service extracts content from your files, indexes it, and allows you to query the information via a chat interface using Retrieval-Augmented Generation (RAG).

2. Accounts and Subscriptions

2.1. Account Registration

You must be at least 18 years of age to register for an account and use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2. Credits and Usage

The Service operates on a Credit System.

  • Consumption: Credits are consumed for various actions, including but not limited to:
    • Document Processing: Charged based on file complexity (e.g., number of pages for PDFs, file size for other formats) and advanced features (e.g., Vision Extraction for images/tables).
    • Chat Interactions: Charged per message query.
  • Top-ups: You may purchase additional credits ("Top-ups") or subscribe to a plan that allocates a specific number of credits per period.
  • Expiration: Credits may have an expiration date as specified at the time of purchase. Unused credits may expire if not used within the specified timeframe.
  • Refunds for Failures: In the event of a system error where a document fails to process or a chat response fails to generate due to technical issues on our end, the deducted credits for that specific action will typically be automatically refunded to your team balance.

2.3. Fees and Payment

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to change our credit pricing and consumption rates at any time.

3. User Content and Data Privacy

3.1. Ownership and Warranties

You retain all ownership rights to the documents and data you upload to the Service ("User Content"). We claim no ownership over your User Content. You represent and warrant that you have all necessary rights, licenses, and permissions to upload and process the User Content through the Service and that such content does not violate any third-party rights or applicable laws.

3.2. Data Usage and License

By using the Service, you grant Retrievy a limited, non-exclusive, worldwide license to copy, store, encrypt, process, and transmit your User Content solely for the purpose of providing the Service to you.

3.3. AI Training and Third-Party Processors

  • No LLM Training: We explicitly DO NOT use your User Content to train our internal Large Language Models (LLMs) or the models of our third-party AI providers.
  • Third-Party Processing: To provide the RAG functionality, specific chunks of your text are sent to third-party AI providers (e.g., OpenAI) solely to generate responses to your queries. These providers are contractually prohibited from using your data for model training.
  • Storage: Your files are securely stored using enterprise-grade cloud storage (AWS S3) and vector databases.

3.4. Data Isolation

The Service enforces strict tenant isolation. Your documents and data are accessible only by authorized members of your Team.

3.5. Output Content

Retrievy claims no ownership over the text responses generated by the AI in response to your queries ("Output"). As between you and Retrievy, you own the Output. However, you are solely responsible for the Output and its use, including ensuring it does not violate any applicable law or these Terms. Due to the nature of machine learning, Output may not be unique across users and the Service may generate the same or similar output for other users.

4. Acceptable Use

You agree not to upload User Content or use the Service to:

  • Process files containing malware, viruses, or malicious code.
  • Upload illegal, infringing, or harmful content.
  • Attempt to reverse engineer, decompile, or extract the source code of the Service.
  • Access the Service via automated means (scraping) without permission.
  • URL Processing: You agree not to submit URLs that resolve to internal/private IP addresses or engage in Server-Side Request Forgery (SSRF) attacks.
  • Prompt Injection: Attempt to bypass safety filters or "jailbreak" the underlying AI models.
  • High-Stakes Use: Use the Service for any purpose where an error in the Output could lead to physical harm, legal liability, or significant financial loss (e.g., medical diagnosis, legal advice, or critical infrastructure control).
  • Sensitive Data Prohibitions: You agree not to upload User Content that contains highly sensitive information, including but not limited to:
    • Financial Information: Credit card numbers, bank account details, or authentication credentials (passwords, API keys).
    • Protected Health Information (PHI): Medical records or health-related data subject to regulations like HIPAA, unless otherwise agreed in writing.
    • Personally Identifiable Information (PII): Government-issued ID numbers (SSNs, Passports) or other data that creates a high risk of identity theft.
  • Data Redaction: You are responsible for redacting or scrubbing sensitive information from your User Content before uploading it to the Service. Retrievy does not automatically detect or mask sensitive information in your documents.

5. Security and Processing

  • Upload Screening: We screen uploads for potential security threats. Files detected as malicious or containing executable code (e.g., PHP scripts) will be rejected.
  • Processing Estimates: Credit costs for document processing are estimated upfront. A "Hold" is placed on your credits. If the actual processing cost differs, we will adjust the transaction (refund the difference or deduct the remainder) upon completion.

6. Disclaimer of Warranties and AI Specific Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE".

6.1. AI Hallucinations and Accuracy

Artificial Intelligence is non-deterministic and can make mistakes. The Service may generate incorrect, misleading, or "hallucinated" information that is not supported by your documents. You are solely responsible for verifying the accuracy of any Output. The "Strict Mode" feature assists in reducing hallucinations by constraining answers to your documents, but it is not a guarantee of accuracy and is not infallible.

6.2. No Professional Advice

The Output provided by the Service is for informational purposes only. It does NOT constitute legal, financial, medical, tax, or any other form of professional advice. Use of the Service does not create a professional-client relationship.

6.3. General Warranties

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We disclaim all warranties, express or implied, including but not limited to the implied warranties of merchantability and fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law, Retrievy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, resulting from: (a) your use or inability to use the Service; (b) any AI-generated Output or its accuracy; (c) any conduct or content of any third party on the Service; or (d) unauthorized access, use, or alteration of User Content.

Liability Cap: In no event shall Retrievy's total liability for all claims related to the Service exceed the total amount paid by you to Retrievy for the Service during the twelve (12) months prior to the event giving rise to the liability.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

9. Indemnification

You agree to indemnify, defend, and hold harmless Retrievy and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the Service; (b) your User Content; (c) your use of any AI-generated Output; or (d) your violation of these Terms.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on the Service or via email. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
